  • Make timely payments according to the agreed payment terms

5.3 Deliverables

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality on our website and in our services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are the exclusive property of JIANG MSG LLC or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Client Intellectual Property

Clients retain all rights to their pre-existing intellectual property. By engaging our services, clients grant us a limited license to use their intellectual property solely for the purpose of providing the agreed-upon services.

6.3 Work Product

Ownership of work product created during the course of providing services will be addressed in the specific service agreement. Unless otherwise specified, custom work product created specifically for a client will be transferred to the client upon full payment, while our pre-existing tools, methodologies, and frameworks remain our property.

6.4 License to Use Website

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website for lawful purposes in accordance with these Terms. You may not:

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation includes:

  • Not disclosing confidential information to third parties without prior written consent
  • Using confidential information only for the purposes of the business relationship
  • Taking reasonable measures to protect confidential information from unauthorized disclosure
  • Returning or destroying confidential information upon request or termination of the relationship

Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from third parties.

9. Warranties and Disclaimers

9.1 Professional Services Warranty

We warrant that our professional services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is valid for a period specified in the service agreement.

9.2 Website Disclaimer

OUR WEBSITE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.3 No Guarantee of Results

While we strive to deliver high-quality services, we do not guarantee specific results or outcomes. The success of any project depends on various factors, some of which may be outside our control.

9.4 Third-Party Services

We are not responsible for the performance, availability, or content of third-party services, software, or websites that may be used in connection with our services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • IN NO EVENT SHALL JIANG MSG LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
  • SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU

11. Indemnification

You agree to indemnify, defend, and hold harmless JIANG MSG LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

12. Termination

12.1 Termination by Either Party

Either party may terminate a service agreement according to the terms specified in that agreement. Unless otherwise specified, either party may terminate with written notice.

12.2 Termination for Cause

We may immediately terminate or suspend your access to our services if:

  • You breach these Terms or any service agreement
  • You fail to make required payments
  • Your actions create legal liability or security risks
  • You engage in fraudulent, abusive, or illegal activity

12.3 Effect of Termination

Upon termination:

  • You remain obligated to pay for services rendered prior to termination
  • Provisions that by their nature should survive termination will continue to apply
  • We will provide deliverables completed prior to termination upon receipt of payment

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations.

14.2 Arbitration

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles County, California.

14.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and JIANG MSG LLC individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California and the United States, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California, and you consent to personal jurisdiction in such courts.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending email notification for significant changes

Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

18. Severability
